    Terms of Service

    These Terms of Service (the "Terms") govern your access to and use of the website and online SQL practice environment offered by SQiLs ("we," "us," or the "Company"). By accessing or using the website and/or any services offered to individual users ("Services"), you agree to these Terms. If you do not agree to these Terms, you may not access or use our Services.

    ANY DISPUTE BETWEEN YOU AND SQILS IS SUBJECT TO A CLASS ACTION WAIVER AND EXCLUSIVE JURISDICTION IN TEL AVIV, ISRAEL, AS STATED BELOW.

    1. Access to Services

    1.1. Your Credentials

    To create and access our Services, you may need to provide credential information, such as a username and password, to access your account within the Services ("Account"). Your Account is solely for your personal use and may not be shared with anyone else. You must provide true, accurate, and complete credentials for your Account.

    1.2. Security Responsibility

    You are responsible for maintaining the confidentiality of your Account credentials, and for all activities that occur under your Account. SQiLs will not be liable for any loss or damage arising from your failure to provide us with accurate Account information or to keep your credentials secure, and you agree to immediately notify SQiLs if you become aware of or suspect any unauthorized access of your Account or credentials.

    1.3. Age Restriction

    BY USING SQILS' SERVICES, YOU AFFIRM THAT YOU ARE 18 YEARS OR OLDER. THE SERVICES ARE NOT INTENDED FOR MINORS.

    2. Privacy Policy

    2.1. Privacy Policy Agreement

    Your use of our Services is also subject to the SQiLs Privacy Policy. This Privacy Policy explains how we collect and process your personal information and personal data. This includes data shared via third-party authentication services such as Google or Facebook.

    3. The SQiLs Practice Environment

    3.1. Usage Rules

    In using the interactive SQL environment and training modules, you agree that: (a) all code generated by you is for personal educational purposes only; (b) you are strictly prohibited from attempting to extract, download, or "scrape" the underlying proprietary datasets or the local SQLite database files loaded to your browser; and (c) any attempt to perform SQL injection or otherwise disrupt the database integrity is a material breach of these Terms.

    4. Subscription Plans

    4.1. No Offer Made

    When you order a Subscription, your order is an offer that we may accept or reject at our discretion. Our acknowledgment of receipt of your order does not mean that we have accepted it.

    4.2. Subscription Plans

    We may offer different plan options with different prices and features. For any paid Plans, billing is managed by Lemon Squeezy (our "Merchant of Record"). You must provide valid and current billing information to Lemon Squeezy to activate and maintain a paid Plan.

    4.3. Plan Cycles

    Your Subscription will start on the date we accept your Subscription order ("Start Date"). Your Subscription will continue for the period of time applicable to your Subscription Plan (e.g., monthly or annually).

    4.4. Fees and Automatic Renewal

    (a) Fees. ALL FEES ARE NON-REFUNDABLE. BY PURCHASING A SUBSCRIPTION, YOU EXPRESSLY REQUEST AND CONSENT TO THE IMMEDIATE PERFORMANCE OF THE SERVICES. YOU ACKNOWLEDGE THAT SQILS PROVIDES A "FREE TIER" FOR EVALUATION, AND THEREFORE, ALL SALES ARE FINAL AND NON-REFUNDABLE UPON THE ACTIVATION OF DIGITAL CONTENT OR ACCESS TO THE PAID FEATURES.

    (b) AUTOMATIC RENEWAL. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE START OF EACH SUBSEQUENT PLAN CYCLE UNTIL YOUR SUBSCRIPTION IS CANCELLED.

    (c) Recurring Billing. Fees will be charged on a recurring basis at the start of each Plan Cycle via Lemon Squeezy.

    4.5. Changes to Your Plan

    You may change your Plan during a Plan Cycle. Upgrades take effect immediately; downgrades take effect as of the start of the next Plan Cycle following your request.

    4.6. Cancelling Your Subscription

    You may cancel your Subscription at any time using the features within your Account. Cancellations do not take effect until the end of your then-current Plan Cycle. You will not receive a refund for Fees already paid.

    4.7. How SQiLs May Cancel

    We may immediately cancel your Subscription without any refund or credit if you: (a) breach these Terms; (b) use the Services in violation of law; or (c) engage in conduct that SQiLs deems damaging, including any attempt to reverse engineer or scrape the SQLite database.

    4.8. Changes to Fees

    SQiLs may change the Subscription Fees from time to time. Changes will become effective as of the first billing date following 30 days after we institute the change.

    4.9. EU/UK Refunds and Waiver of Withdrawal Rights

    If you are a consumer in the European Union or the United Kingdom, you expressly agree and acknowledge that by purchasing a Subscription, you are requesting immediate performance of the Services. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU LOSE YOUR STATUTORY RIGHT OF WITHDRAWAL AND REFUND ONCE THE DIGITAL CONTENT IS MADE AVAILABLE TO YOU. By clicking the purchase button, you provide your express consent to waive any "cooling-off" period.

    4.10. Trials

    SQiLs may offer free or discounted Subscription trials ("Trials") at its sole discretion. To avoid being charged Subscription Fees after a Trial, you must cancel the Subscription prior to the end of the Trial period.

    5. SQiLs' Intellectual Property Rights

    5.1. Ownership of Our Services

    SQiLs exclusively owns and reserves all rights in and to the Services, including but not limited to all exercises, datasets, schema designs, solutions, and the technical architecture of the local SQLite databases.

    5.2. Our License to You

    SQiLs grants you a personal, non-exclusive, non-transferable, and revocable license to access and use the Services under your Account solely for individual educational purposes.

    5.3. License to Feedback

    If you provide SQiLs with any feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without any compensation to you.

    6. Your Content

    6.1. Your Ownership of Your Content

    As between you and SQiLs, you own the rights in and to the specific SQL code authored by you within the Services ("User Code").

    6.2. Restrictions on Sharing

    You agree that you shall not publish, share, or distribute User Code in any manner that reveals or displays the underlying proprietary exercises, datasets, or solutions of SQiLs (including sharing on GitHub, LinkedIn, or other public forums).

    6.3. Content Representations

    You represent and warrant that your User Code is your original work and does not infringe on the intellectual property rights of any third party.

    6.4. Content Removal

    SQiLs reserves the right, at its sole discretion, to block or remove any Content or User Code from the Services without notice if a violation is suspected.

    6.5. Content Disclaimer

    SQiLs does not guarantee the accuracy or quality of any content provided by users. You waive any legal or equitable rights or remedies you have against SQiLs with respect to such content.

    7. Acceptable and Prohibited Uses

    7.1. Prohibited Uses

    You may not, nor may you allow any third party to:

    • (a) reverse engineer, decompile, or attempt to extract the SQLite database files;
    • (b) use any automated system (bots, scrapers) to extract Content;
    • (c) use the Services to train AI or machine learning models;
    • (d) engage in SQL injection or DoS attacks.

    7.2. LIQUIDATED DAMAGES

    THE PARTIES ACKNOWLEDGE THAT THE CONTENT IS A PROTECTED TRADE SECRET. ANY BREACH OF THE PROHIBITIONS AGAINST SCRAPING, DATA EXTRACTION, OR REVERSE ENGINEERING SHALL ENTITLE SQILS TO LIQUIDATED DAMAGES IN THE AMOUNT OF $15,000 USD PER BREACH.

    7.3. International Use

    The Services are hosted on Vercel/AWS. If you use the Services from outside the United States, you acknowledge that you are voluntarily transferring data to the United States.

    8. Disclaimers

    8.1. Warranty Disclaimer

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SQILS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR THAT THE SERVICES WILL BE ERROR-FREE.

    8.2. No Professional Guarantee

    SQILS MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING YOUR FUTURE EMPLOYMENT, CAREER ADVANCEMENT, OR SUCCESS IN EXTERNAL TECHNICAL INTERVIEWS.

    9. Limitations of Liability

    9.1. Liability Limitation

    SQILS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.

    9.2. Aggregate Liability

    OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT PAID BY YOU TO SQILS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (ii) ONE HUNDRED DOLLARS ($100.00).

    10. Indemnification

    10.1. Your Indemnification Obligation

    You will defend, indemnify, and hold harmless SQiLs from and against any and all loss, damages, and expenses (including reasonable attorneys' fees) related to third-party claims arising from your violation of these Terms.

    11. Export Controls

    11.1. Trade Compliance

    You represent that you are not located in a country that is the target of Israeli or U.S. trade embargoes (e.g., Iran, North Korea, Syria). You shall not access the Services if you are on any restricted parties list.

    12. Governing Law and Venue

    12.1. Exclusive Jurisdiction

    These Terms are governed by the laws of the State of Israel. Any dispute arising from or related to these Terms shall be adjudicated exclusively in the competent courts located in Tel Aviv-Jaffa, Israel.

    13. CLASS ACTION WAIVER

    13.1. Individual Resolution Only

    TO THE FULLEST EXTENT PERMITTED BY LAW, ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU EXPRESSLY WAIVE THE RIGHT TO BRING ANY CLAIM AS A PLAINTIFF OR MEMBER OF A CLASS ACTION.

    We may provide notices to you via the email address associated with your Account or via site announcements.

    15. Changes to These Terms

    15.1. Modification Right

    We reserve the right to change these Terms from time to time. Your continued use of the Services after we notify you of the change constitutes your acceptance of the updated Terms.

    16. Limitation of Action

    16.1. Time Bar

    YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CAUSE OF ACTION AROSE OR BE FOREVER BARRED.

    17. Termination and Suspension

    17.1. Termination by SQiLs

    SQiLs reserves the right to deactivate or terminate your Account at any time for breach of these Terms, without refund.

    17.2. Suspension

    SQiLs may suspend your access to the Services, without notice, to investigate suspected technical risks, scraping activities, or reverse engineering of the SQLite database.

    17.3. Survival

    All sections of these Terms that by their nature survive termination (including IP Rights, Liquidated Damages, Liability, and Jurisdiction) will continue to apply after termination.
